Governing Law and Jurisdiction: This Agreement shall be governed in all respects by the laws of the Untied States of America and by the laws of the State of Oregon, irrespective of its choice of law provisions. Any suit brought by either party against the other on the basis of any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be brought in either the United States District Court of Oregon, United States of America, or in an appropriate court in Multnomah County, Oregon, U.S.A., and the parties hereby submit to the personal jurisdiction and further agree that venue of these courts is proper.

A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

Severability: If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

The failure of UFCW Local 555 to exercise any right or remedy under these terms and conditions shall not constitute a waiver of that right or remedy.
